This software and software system (collectively, "Software") constitutes valuable proprietary property, includes confidential information, and constitutes trade secrets that embody substantial creative efforts and that are valuable to The Reynolds and Reynolds Company. The Software is intended solely for, and restricted to, the internal use by current employees of The Reynolds and Reynolds Company and its affiliates (collectively, "Reynolds"). The user agrees to keep the Software confidential and shall not copy, reproduce, download, distribute, or in any way disseminate or allow access to the Software by third parties. Further, the user shall not use the Software or any information derived from the Software for any use outside the scope of their employment with Reynolds. Any access to this Software by electronic means or otherwise by anyone who is not a Reynolds employee constitutes unauthorized use of proprietary software, and will be subject to full prosecution under applicable laws.

Signing on to the Software may allow the user access to copyrighted data provided by various manufacturers and distributors for the sole purpose of supporting the Software. Any reproduction, duplication, or unauthorized use of the manufacturer price files, labor time standards, or other copyrighted data is strictly prohibited. Additionally, signing on to the Software may allow the user access to confidential client consumer data. The user agrees that the user shall keep this data confidential at all times and shall not copy, reproduce, download, distribute, or in any way disseminate or allow access to the confidential client consumer data by third parties.
